Health Catalyst Closes Vitalware Sale to Med-Metrix, Retires Credit Facility Debt

Health Catalyst, Inc. (Nasdaq: HCAT) announced it closed the sale of Vitalware, LLC to Med-Metrix, LLC, a technology-enabled revenue cycle management company, on July 31, 2026. The company used the net proceeds plus cash on hand to fully repay and terminate all obligations under its credit facility, eliminating approximately $19 million in annual GAAP interest expense based on annualizing the first half of 2026.

The transaction included $147 million in total cash consideration, subject to customary adjustments. Health Catalyst said the strengthened balance sheet will provide financial flexibility to invest in its core intelligence strategy, focusing on products that combine client data with the company's $2.8 billion in documented outcomes across more than 380 client improvement case studies.

CEO Ben Albert said the company is well-positioned to solve the problem of pairing analytics with actionable guidance and support to make change stick. Health Catalyst plans to concentrate its roadmap on intelligence products that help health systems manage cost, advance clinical quality, and earn consumer loyalty, leveraging 18 years of proprietary healthcare improvement data.
